Terms of Service

These Terms of Service (“Terms”) govern your use of the Forge embedding platform and related services operated by Voxell AI, Inc. (“Voxell,” “we,” “us”). By creating an account or using the API, you agree to these Terms.

1. Service Description

Forge is a GPU-accelerated text embedding API. We provide vector embeddings for your text data via a REST API. We offer multiple model tiers (Turbo, Pro, Ultra) with metered billing based on token usage.

2. Account and API Keys

You must provide a valid email address and password to create an account. You are responsible for maintaining the confidentiality of your API keys. Notify us immediately at support@voxell.ai if you believe your keys have been compromised. We reserve the right to revoke keys associated with abuse.

3. Acceptable Use

You agree not to:

Exceed rate limits or attempt to circumvent them.
Use the service for any unlawful purpose.
Reverse-engineer, decompile, or attempt to extract the underlying models.
Resell API access without prior written agreement.
Submit content that violates applicable laws or third-party rights.

4. Billing and Payment

Usage is metered by token volume and billed through Stripe. Trial accounts receive a limited token allocation at no cost. Paid subscriptions are billed monthly based on actual usage. Prices are published on our website and may change with 30 days notice. Unpaid accounts may be suspended.

5. SMS Alert Notifications

If you are an authorized platform operator, you may receive automated SMS alerts about infrastructure events (outages, performance degradation, error rate breaches). These messages are sent to internal operations staff only and are not marketing communications. Message and data rates may apply. You can opt out at any time by contacting support@voxell.ai.

6. Data and Privacy

Your input text is processed for embedding generation and is not stored after the job completes. Embedded vectors are returned to you and not retained. Usage metadata (request counts, token volumes, timestamps) is retained for billing. See our Privacy Policy for full details.

7. Service Availability

We target high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime, data loss, or service interruptions.

8. Intellectual Property

You retain all rights to your input data and the resulting embeddings. We retain all rights to the Forge platform, APIs, models, and documentation. Nothing in these Terms transfers ownership of intellectual property.

9. Limitation of Liability

To the maximum extent permitted by law, Voxell AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate at any time. You may delete your account via the dashboard or by emailing support@voxell.ai. We may suspend or terminate accounts that violate these Terms. Upon termination, your API keys are revoked and access ceases immediately. Outstanding usage charges remain payable.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
